Disclosures

Last updated: June 5, 2026

These disclosures apply to the website at cohortfunding.com and to the financing offered by Cohort Capital Management LLC and its affiliates ("Cohort Capital"). They are intended to be read together with our Terms of Use and Privacy Policy.

1. Informational purpose; illustrative figures

All content on the Site is provided for general informational purposes only. Except for historical activity figures explicitly attributed to the founding team’s prior firm, amounts, shares, caps, multiples, costs, returns, or examples shown are illustrative and are intended only to explain how our structure works. They are not quotes, offers, commitments, or guarantees, and actual terms and results depend on underwriting and individual circumstances and will vary.

2. Not an offer of securities

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund or vehicle, including Cohort Capital Fund LP. Any such offer would be made only through definitive offering documents to eligible investors and only where permitted by law.

3. Nature of the financing; not a loan

Cohort Capital's financing is structured as a purchase, on a non-recourse basis, of future gross-profit receivables generated by specifically underwritten customer cohorts. It is a true sale of receivables. It is not a loan and not a merchant cash advance. No financing is offered or committed through the Site, and no financing relationship arises unless and until Cohort Capital and the applicable counterparty execute definitive written agreements, subject to underwriting and eligibility.

4. Commercial-financing cost disclosures

Where required by state commercial-financing disclosure laws, Cohort Capital provides a standardized cost disclosure before funding. These laws are in effect or being implemented in a growing number of states, which may include California, New York, Utah, Virginia, Georgia, Connecticut, and others; applicability depends on the transaction and the recipient's location. The disclosure provided in your offer will contain the specific, deal-level figures for your financing. A representative format of the pre-funding cost-disclosure box is shown below.

Representative pre-funding commercial-financing cost disclosure
Total amount of funds provided[ provided in your offer ]
Total amount disbursed to recipient (after any fees)[ provided in your offer ]
Total dollar cost of the financing[ provided in your offer ]
Estimated annualized cost of the financing[ provided in your offer ]
Manner, amount, and frequency of collectionsAgreed share of cohort gross profit, collected as it is generated, until the contractual cap
Whether collections may vary with performanceYes — collections are contingent on cohort performance; no payment is owed in a period the cohort does not perform
Prepayment; effect on cost[ provided in your offer ]
Other fees[ provided in your offer ]

Cohort Capital does not market a standalone "factor rate" for offers within disclosure-regulated thresholds and describes its product as a purchase of receivables rather than a loan or a "rate."

5. Forward-looking statements

The Site may contain forward-looking or aspirational statements regarding strategy, structure, markets, or potential outcomes. These involve known and unknown risks and uncertainties, and actual results may differ materially. Targeted or example returns are objectives, not promises, and past performance does not guarantee future results.

6. No advice; independent decision

Content on the Site is not investment, legal, tax, accounting, or other professional advice and should not be relied upon as such. You should consult your own qualified advisors before making any decision. Cohort Capital does not act as your advisor or fiduciary.

7. Eligibility examples

Any eligibility figures referenced on the Site (for example, minimum monthly revenue, time in business, or gross-profit-to-acquisition-cost ratios) are general guidelines, not entitlements. Meeting any guideline does not guarantee an offer, and all financing remains subject to underwriting, verification, documentation, and applicable disclosures.

8. Partner and referral compensation

Cohort Capital may compensate agencies, platforms, and other partners who refer financing opportunities (for example, a percentage of capital deployed on funded cohorts). Where a partner referred you, that partner may receive compensation in connection with your financing. Partner compensation does not increase your cost of financing beyond the terms disclosed to you.

9. Testimonials and examples

Any testimonials, case studies, or examples on the Site reflect particular situations and are not representative of all outcomes. Individual results vary. Illustrative examples are labeled as such and are not based on any specific recipient.

10. Third-party trademarks

Third-party names and marks referenced on the Site (such as Shopify, Meta, Google, Stripe, and Plaid) are the property of their respective owners. Reference to them does not imply any affiliation with or endorsement by those parties.

Plain-language summary
Everything on the Site is informational and illustrative. We are not offering securities here, and our product is a non-recourse purchase of receivables — not a loan or MCA. Where state law requires it, you will receive a standardized cost disclosure with your actual numbers before any funding. Figures are examples, eligibility guidelines are not guarantees, and partners we work with may be compensated.
